1. Acceptance
By accessing qr.capital (the "Website") or communicating with Quantum Reserve Capital SA ("QRC", "we", "us"), you acknowledge and accept these Terms of Service and our Privacy Policy. If you do not accept them, you must not use the Website or submit information through it.
2. Nature of the Website
The Website is informational only. It does not constitute an offer to sell, a solicitation of an offer to buy, or a recommendation to acquire any security, digital asset, fund interest, or financial instrument in any jurisdiction. Any investment opportunity is made available only through confidential private-placement documentation delivered to eligible investors after due diligence.
3. Eligibility
Access to investment opportunities is restricted to qualified, accredited, or sophisticated investors as defined under the laws of Panama and the investor's jurisdiction of residence. QRC does not provide services to retail investors, does not accept anonymous or unverified capital, and does not solicit the general public.
4. Regulatory Positioning
QRC is organized in the Republic of Panama and conducts private-placement investment activities. QRC does not hold itself out as a licensed broker-dealer, investment adviser, or public offering issuer in any jurisdiction where such licensing would be required. All communications and offering materials are provided under applicable private-placement exemptions.
5. No Advice
Nothing on the Website constitutes legal, tax, accounting, or personalized investment advice. Prospective investors must consult their own independent advisors before making any investment decision.
6. Risk Acknowledgement
Investing in digital assets, AI-driven strategies, and quantitative trading involves substantial risk, including total loss of capital. Past performance, backtests, simulated results, and target returns are not indicative of future results. Optional capital-protection insurance, where offered, is subject to third-party underwriting and does not guarantee any specific outcome.
7. Intellectual Property
All content on the Website — including text, graphics, logos, brand marks, models, algorithms, methodologies, and code — is owned by QRC or its licensors and is protected by applicable intellectual-property laws. To the maximum extent permitted by law, QRC, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your access to or use of the Website, including reliance on any information contained herein.
11. Confidentiality
Any information provided by QRC in connection with a potential investment — including offering documents, data-room materials, and due-diligence responses — is confidential and may be shared only under a fully executed NDA/NCNDA and only with your professional advisors on a need-to-know basis.
12. Governing Law & Forum
These Terms are governed by the laws of the Republic of Panama. Any dispute arising out of or in connection with these Terms or the Website shall be submitted to the exclusive jurisdiction of the competent courts of Panama City, Republic of Panama, without prejudice to any mandatory investor-protection rules of your jurisdiction of residence.
13. Changes
QRC may amend these Terms at any time by posting a revised version on the Website. Continued use of the Website after publication constitutes acceptance of the revised Terms.
